Hyderabad-based aerospace and defence company Sigma Advanced Systems has acquired a 100% stake in UK-based Nasmyth Group, a tier-1 precision engineering partner to global original equipment manufacturers (OEMs), for a cash consideration of Rs 213 crore.

Nasmyth works with major aerospace and defence players including Rolls-Royce, GE, Siemens, Airbus, BAE Systems, Safran, Lockheed Martin and Boeing. In addition to the acquisition amount, Sigma plans to invest a further Rs 450 crore to expand and strengthen the business, the company said in a statement.

Following the acquisition, Nasmyth will continue to operate under its existing name and leadership to ensure continuity for customers and partners. Sigma will provide group-level support across engineering services, research and development, product development and financial planning.

According to the company, programmes will continue to be originated and governed close to Western OEMs, reflecting Nasmyth’s long-standing programme-level engagement with global OEMs and tier-1 suppliers through long-term contracts and delegated responsibilities. Sigma aims to combine Nasmyth’s customer proximity in Western markets with India’s cost-efficient and talent-rich manufacturing base to deliver high-complexity, safety-critical components and systems across aerospace, defence and emerging technologies.

“This acquisition marks a defining step in Sigma’s journey,” said Sunil Kumar Kalidindi, CEO of Sigma Advanced Systems. “Nasmyth brings deep engineering expertise, decades of trust with leading OEMs, long-term contracts and close customer proximity across key Western markets. Together, we are creating a stronger platform that enhances capabilities and scale, enabling us to support global aerospace and defence customers with greater resilience and higher execution certainty.”

The acquisition provides Sigma access to Nasmyth’s advanced engineering capabilities, multi-year relationships with global OEMs and an established manufacturing and customer-facing footprint in the UK and Europe. It also enables the transfer of advanced manufacturing technologies to India, including precision machining of hard metals and superalloys, aerospace-grade fabrication and welding, and complex systems integration, significantly shortening Sigma’s timeline to scale high-criticality aerospace and defence manufacturing.

Nasmyth reported revenues of around Rs 728 crore for the 12 months ended April 2025 and operates multiple manufacturing facilities in the UK, along with one facility in India. The group specialises in complex precision engineering, advanced metal treatments and special processes.

Sigma Advanced Systems currently manufactures critical components for missile programmes such as Konkurs, Invar and Akash, as well as LRSAM and MRSAM systems. Its portfolio also includes avionics for fighter aircraft and helicopters, components for warships and submarines, and multi-range radar systems.

Building and certifying aerospace-grade special processes can take several years. With the acquisition of Nasmyth, Sigma effectively advances its strategic roadmap by several years by integrating a business that already operates to global aerospace standards.
