Zen Technologies acquires majority stake in TISA Aerospace to enter loitering munitions sector

Zen Technologies Limited has announced the acquisition of a majority stake in TISA Aerospace Private Limited, an emerging defence technology company specialising in indigenously developed loitering munitions and unmanned aerial vehicles (UAVs). The acquisition marks Zen Technologies’ strategic entry into a fast-growing segment of modern warfare technology.

The Board of Directors of Zen Technologies unanimously approved the transaction, which will be completed through a combination of share purchase from existing shareholders and acquisition of compulsorily convertible debentures (CCDs) previously issued by TISA, announced by the company.

“This acquisition is a decisive step towards strengthening Zen’s position in the rapidly evolving defence drone sector,” said Ashok Atluri, Chairman and Managing Director of Zen Technologies. “TISA’s expertise in loitering munitions provides us with immediate access to advanced technologies and platforms that align with the emerging operational requirements of the Armed Forces.”

Loitering munitions—precision-guided weapons that hover over target areas before striking—have gained increasing prominence in recent conflicts, with their tactical advantages proving critical in both conventional and asymmetric warfare.

TISA Aerospace has made notable progress in research and development, including the successful execution of a defence project for the Defence Research and Development Organisation (DRDO), with design support from the Indian Institute of Technology (IIT) Madras. Zen Technologies plans to leverage TISA’s capabilities to expand its portfolio, particularly in synergy with its existing strengths in anti-drone systems and propulsion technologies.

“The integration of our technologies will enhance our ability to deliver a broader, more future-ready defence offering. This move is in line with India’s strategic push for self-reliance in critical defence capabilities, particularly in drones and loitering munitions,” Atluri added. “We see strong potential for cross-platform integration, enabling faster scaling and improved competitiveness in both domestic and global markets.”

The acquisition reflects a broader trend of consolidation and technological advancement in India’s defence sector, driven by both operational needs and policy support for indigenous defence manufacturing under the Atmanirbhar Bharat initiative.
